Terms of service

These apply to all services of [RAGIONE SOCIALE] S.r.l. (“Finish Protocol”), unless otherwise agreed in writing in the quote. Last updated: [DATA DI PUBBLICAZIONE].

Courtesy translation: the Italian version is the one that applies. Draft to be checked by a lawyer before use. The clauses listed in Article 15 must be specifically approved in writing by the client in the signed quote (Articles 1341 and 1342 of the Italian Civil Code).

1. Who the services are for

The services are reserved for businesses and professionals who buy them for their own business. They are not aimed at consumers.

2. Quote and formation of the contract

Every service is preceded by a written quote, setting out the work included, the price, VAT, timing and duration. The contract is formed when the client returns the signed quote, including by electronic signature or acceptance by PEC. These terms form part of the contract.

3. Prices and payment

  • Price-list prices exclude VAT.
  • Monthly fees are invoiced at the start of each month and are payable within 15 days of the invoice date, by bank transfer or SEPA direct debit.
  • One-off work (set-ups, pages, trials) is paid one third on order and the rest on delivery.
  • Late payment carries the interest provided for by Legislative Decree 231/2002. After 30 days' delay Finish Protocol may suspend the service, giving written notice.

4. Advertising budget

The budget for ads on Meta, Google or other platforms is paid by the client directly to the platform, with the client's own payment method and on the client's own account. It is not included in Finish Protocol's prices and does not pass through Finish Protocol.

5. Duration and termination

  • The 30-day trial ends on delivery of the numbers sheet, with no automatic renewal.
  • Monthly services have an initial period of three months. After that they continue indefinitely and either party may terminate with 30 days' written notice, including by email or PEC.
  • The annual plan for estate agencies, if chosen, lasts 12 months.

6. Ownership of accounts and content

Domains, websites, ad accounts, pixels, social profiles, WhatsApp numbers and content created for the client are registered in the client's name or transferred to the client. At the end of the relationship Finish Protocol hands over access, files and content within 7 days, except third-party materials subject to licence, for which it explains how to continue.

7. Client obligations

  • Provide the necessary access, information and materials, and guarantee the right to use them.
  • Approve texts and content before publication.
  • Reply to their own customers' enquiries and collect the consents needed to contact them.

8. Nature of the obligation

Finish Protocol undertakes to carry out with diligence the work described in the quote, within the stated timing. It does not guarantee a number of enquiries, sales or bookings, which also depend on factors outside its control.

9. Artificial intelligence

Finish Protocol may use artificial intelligence tools, listed in the quote, for drafts, translations, ad variations and video edits. All content is checked by a person before delivery. Content generated or altered with AI that is intended for the public is labelled as such, in accordance with Article 50 of Regulation (EU) 2024/1689. Images or voices of real people are not created without their written consent.

10. Data protection

When it processes personal data on the client's behalf, Finish Protocol acts as data processor under a written agreement in accordance with Article 28 GDPR, attached to the quote. The client authorises the use of sub-processors, including the group's production studio in India, on the conditions set out in that agreement and with the European Commission's standard contractual clauses.

11. Confidentiality

Each party keeps confidential the other party's information that it learns, including after the end of the relationship.

12. Training

  • Registration for a workshop is confirmed on payment.
  • The client may cancel at no cost up to [NUMBER] days before the date, or name another person to attend instead.
  • If Finish Protocol cancels a workshop, it offers a new date or refunds the full amount.

13. Liability

Except in cases of wilful misconduct or gross negligence, Finish Protocol's liability is limited to the fees paid by the client in the [NUMBER] months before the event.

14. Governing law and jurisdiction

The contract is governed by Italian law. The Court of Rimini has exclusive jurisdiction over any dispute.

15. Specific approval

Under Articles 1341 and 1342 of the Italian Civil Code, the client specifically approves in the signed quote Articles 3 (suspension of service), 5 (duration and termination), 8 (nature of the obligation), 13 (limitation of liability) and 14 (exclusive jurisdiction).
